Welcome to Online Store Builder Academy ("the Academy," "we," "us," or "our"), an online membership platform operated by FK Holdings LLC, and Tempest Holdings LLC, doing business as Online Store Builder Academy. These Terms of Use ("Terms") govern your access to and use of the Academy, including its courses, resources, community, messaging features, and related content.
By creating an account or using the Academy, you agree to these Terms. If you do not agree, do not use the platform.
You must be at least 18 years old to use the Academy. By creating an account, you represent that you are 18 or older and that all information you provide is accurate. Providing false information, or creating an account on behalf of someone who is not eligible, is a violation of these Terms and grounds for immediate and permanent termination.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account — including activity by anyone you allow to access it. Notify us promptly if you suspect unauthorized use of your account.
Accounts are strictly personal. You may not share, sell, rent, lend, or transfer your account, your login credentials, or your access to Academy content to anyone else, for any reason, paid or unpaid. One account means one person.
We actively monitor for account sharing and unauthorized access patterns. If we determine that your account has been shared or your access resold:
Your access will be terminated immediately and permanently, with no right of reinstatement.
You will be held responsible for any content leakage, damage, or misuse that occurs through access you shared, as if you had done it yourself, and we reserve the right to pursue the legal remedies described in Section 6 against you personally.
The Academy offers different membership tiers with access to different content and features. Your tier determines what you can access. We may add, modify, reorganize, or remove content and features at any time as the platform evolves. Access to the Academy does not entitle you to any particular piece of content remaining available indefinitely.
Attempting to access content, features, or areas of the platform beyond your membership tier — whether through technical circumvention, sharing of upgraded accounts, exploitation of bugs, or any other means — is a material violation of these Terms and will be treated the same as unauthorized redistribution under Section 6.
The Academy provides educational content and information about building and operating online stores. This content is provided for informational purposes only.
We do not guarantee any particular outcome, income, or result from applying anything you learn on the platform. Building a business involves risk, effort, and factors outside anyone's control, and results vary widely from person to person. Any examples, case studies, or figures referenced in Academy content are illustrative and are not promises of what you will achieve.
Nothing on the Academy constitutes legal, tax, accounting, financial, or other professional advice. You should consult qualified professionals before making business, legal, or financial decisions.
The Academy references, recommends, and links to third-party software, tools, and services. Some of these links are affiliate or partner links, meaning we may receive compensation when you sign up for or purchase those services through our links. Other links are purely recommendations from us, based on our personal prior experiences.
We are not responsible for third-party products or services. Your use of any third-party service is governed by that provider's own terms and policies, and any dealings you have with third parties are solely between you and them. Recommendations reflect our opinions at the time and do not guarantee that any tool will meet your needs.
All content on the Academy — including courses, videos, written materials, prompts, templates, graphics, and platform design — is owned by us or our licensors and is protected by intellectual property laws.
Your membership grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Academy content for your own individual use only. You may not copy, reproduce, record, screenshot, distribute, resell, publish, share outside the platform, or create derivative works from Academy content without our prior written permission. This includes sharing course materials, downloads, prompts, templates, or any member-only resources with non-members, whether for free or for payment, and whether in whole or in part.
We take the protection of our content seriously, and we actively enforce our rights. If you leak, redistribute, resell, or otherwise misappropriate Academy content:
Your access will be terminated immediately and permanently, with no right of reinstatement.
We reserve the right to pursue all available legal remedies against you, including filing suit for monetary damages, disgorgement of any profits you earned from our content, statutory damages where available, and injunctive relief to halt further distribution.
You agree that unauthorized distribution of Academy content causes us irreparable harm for which monetary damages alone are inadequate, and that we are entitled to seek injunctive relief without the requirement of posting a bond.
If we prevail in an enforcement action against you, you agree to pay our reasonable attorneys' fees and costs in addition to any damages awarded.
We may also report infringing content to the platforms hosting it and pursue its removal, including through DMCA takedown notices.
Simply put: if you steal or redistribute our content, membership is the least of what you will lose.
The Academy includes community and messaging features. When using them, you agree not to:
• Harass, threaten, or abuse other members or our team. • Post or send content that is unlawful, defamatory, obscene, or infringes anyone's rights. • Spam, solicit, or promote outside products or services to other members without our permission. • Attempt to scrape, collect, or harvest other members' information. • Interfere with the operation or security of the platform, probe or test its vulnerabilities, or attempt to gain unauthorized access to any part of it.
Violations are enforced at our sole discretion and without warning. Consequences may include content removal, feature restrictions, or immediate and permanent termination. Conduct that harms other members or the platform — including scraping member data, security interference, or unauthorized access attempts — may additionally be pursued under Section 6's remedies and, where applicable, reported to law enforcement. We cooperate fully with law enforcement investigations.
You may stop using the Academy at any time. We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or conduct we reasonably consider harmful to the platform or its members. Terminations for cause under these Terms are without refund, and termination does not release you from liability for violations committed while you had access.
Sections of these Terms that by their nature should survive termination — including intellectual property and content protection, indemnification, disclaimers, and limitation of liability — will survive.
You agree to indemnify, defend, and hold harmless FK Holdings LLC and Tempest Holdings LLC and their respective owners, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms, your misuse of the Academy or its content, your violation of any law or the rights of any third party, or any harm caused through access you shared in violation of Section 2. In plain terms: if your conduct creates a legal mess, you pay for it — not us.
The Academy is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that content will be accurate or complete at all times.
To the fullest extent permitted by law, FK Holdings LLC and Tempest Holdings LLC and their respective owners, partners, affiliates, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost business opportunities — arising out of or relating to your use of the Academy, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total combined liability of FK Holdings LLC and Tempest Holdings LLC for any claim arising out of or relating to the Academy will not exceed the amount you paid for access to the Academy in the twelve months preceding the claim.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page, and material changes may also be communicated through the platform. Your continued use of the Academy after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Academy will be resolved in the courts located in Puerto Rico, and you consent to their jurisdiction.
